In the Offering, which is subject to market and other conditions, certain of its stockholders (the “Selling Stockholders”) intend to offer 8,750,000 shares of Class A common stock (“Common Stock”) for sale. The Selling Stockholders will also grant the underwriters a 30-day option to purchase up to 1,312,500 additional shares of Common Stock. Noodles & Company will not receive any proceeds from the Offering.
